Terms of Use
1. Description of the Service
Whoopix is a multi-tenant SaaS website-building platform that lets you create, manage and publish a website using template- and AI-based tools. When you create an account and choose a plan, we provision a hosted site at a URL such as hoops.site/user/<username> or on a domain you connect. We may add, modify or discontinue features from time to time to improve the Service.
2. Registration, Account & Eligibility
- You must be at least 18 (or the age of majority where you live) and legally able to enter this agreement.
- You may register via Google, email and password, or other supported social-login providers.
- You must provide accurate, current and complete information and keep your credentials confidential. You are responsible for all activity under your account.
- An account is for a single user/organization and may not be transferred without our consent.
3. Plans, Billing, Payments & Cancellation
- Plans & subscriptions: the Service is offered under paid plans (and may include a trial or limited free tier). Features and prices are shown on the plan-selection screen.
- Payment processor: payments are processed by a third party — PayPal. We do not store your card details. Your use of PayPal is subject to PayPal's own terms and privacy policy.
- Auto-renewal: subscriptions renew automatically at the end of each billing period unless cancelled beforehand, at the then-current rate.
- Cancellation: you may cancel at any time via the admin panel or PayPal. Cancellation takes effect at the end of the current billing period; paid features remain available until then.
- Refunds: except where required by law, payments are non-refundable for billing periods already started. Exceptional requests are considered at our discretion.
- Taxes: prices exclude applicable taxes unless stated otherwise.
4. Acceptable Use & Prohibited Content
You agree not to use the Service, or to publish, upload, generate or distribute through it, any content prohibited by the platform content policy. The following are strictly prohibited:
- pornographic / sexually explicit / adult content, and in all cases any sexual content involving minors;
- illegal gambling, casinos, sports betting and lotteries;
- illegal activity, including illicit drugs, illegal weapons and explosives;
- hate speech, incitement, racism, threats or incitement to violence;
- infringement of others' intellectual property, copyright, trademarks or trade secrets;
- spam, phishing, fraud, malware, viruses or malicious code;
- attempts to hack, overload, circumvent security, or harm the infrastructure or other users.
We operate content-moderation mechanisms (human and automated, including AI) and may block, remove or refuse to generate content that violates this policy, and suspend or terminate violating accounts at our discretion.
5. User Content — Ownership & License
- You keep ownership: you retain all rights to the content you upload or create on your site ("User Content").
- License to operate the Service: you grant Whoopix a worldwide, non-exclusive, royalty-free license to host, reproduce, display and process your User Content solely to operate the Service, host your site and serve it to visitors.
- You represent that you hold all necessary rights in the User Content and that it does not infringe any third party.
6. Your Responsibility for Content & Legal Compliance
You are solely responsible for your site, its content, the products/services it offers, and its compliance with all applicable law — including consumer-protection, privacy, tax, accessibility laws and any licensing your activity requires. Whoopix provides infrastructure tools only and is not a party to transactions between you and your customers or visitors.
7. Suspension & Termination
We may suspend or terminate your account, in whole or in part, immediately and without prior notice, in case of breach of these Terms, non-payment, illegal activity or prohibited content, or risk to the Service or other users. No refund is given for termination due to breach. You may close your account at any time.
8. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, continuous availability or freedom from errors. We do not warrant that the Service will be uninterrupted, fully secure or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, Whoopix, its directors, employees and suppliers shall not be liable for any indirect, special, consequential, punitive or incidental damages, including loss of profits, revenue, goodwill or data. Our total liability for any matter relating to the Service shall not exceed the amount you actually paid for the Service in the 12 months preceding the event giving rise to the liability.
10. Indemnification
You agree to indemnify and hold harmless Whoopix and those acting on its behalf from any claim, demand, damage, loss or expense (including reasonable attorney fees) arising from your User Content, your site, your breach of these Terms, or your infringement of any third-party rights.
11. Governing Law & Jurisdiction
[To be completed/confirmed by counsel] These Terms are governed by the laws of the State of Israel, and the competent courts of the Tel Aviv–Jaffa District, Israel shall have exclusive jurisdiction, unless a mandatory consumer law applicable to you provides otherwise.
12. Changes to these Terms
We may update these Terms from time to time. A material change takes effect upon publication of the updated version, and the version number at the top of the page is updated accordingly. Continued use of the Service after publication constitutes acceptance of the updated Terms.
